Declaration

Consent of the Client / Subscriber:
- I/We have read and understood the terms and conditions of Research Analyst services along with the fee structure and mechanism for charging and payment of fee.
- Based on our request, an opportunity was provided to interact with person(s) associated with the Sampadha Research Services / Strategy / Products.
- I hereby confirm that data available in all major sources including, pan, digilocker, Aadhaar etc is true, correct and updated. If there will be any modification in data, the same will be intimated to separately.
- I/We further confirm having received, read and understood the contents of the “Risk Disclosure Documents.”
- I/We hereby agree to be bound by such provisions as outlined in these documents.
- I/We hereby declare that the details furnished above are true and correct to the best of my/our knowledge and belief and I/we undertake to inform you of any changes therein, immediately. In case any of the above information is found to be false or untrue or misleading or misrepresenting, I am/we are aware that I/we may be held liable for it.
- I / We confirm having read / been explained and understood the contents of the tariff sheet and all voluntary / non mandatory documents & policy & procedures.
- I/We further confirm having read and understood the contents of the 'Rights and Obligations' document(s), Risk Disclosure Document and Do's and Dont's.
- I/We do hereby agree to be bound by such provisions as outlined in these documents.
- I/We have received and read the Rights and Obligations document and terms & conditions and agree to abide by and be bound by the same and by the bye laws as are in force from time to time.
- I/We declare that the particulars given by me/us above are true and to the best of my/our knowledge as on the date of making this application.
- I/We agree and undertake to intimate Sampadha any change(s) in the details / particulars mentioned by me / us in this form.
- I/We further agree that any false / misleading information given by me / us or suppression of any material information will render my account liable for termination and suitable action.
- I / We agree to clear or pay all the dues for the services availed with in 7days upon completion of the above opted service period and also would like to opt for the auto debit or recurring debit of the amount for the services or strategies or products availed
- I / We agree that Sampadha may access all the personal and financial information from the open and available sources for better decision making and authentication or cross verification of the data supplied by me / us

Voluntary Clauses
- The Client agrees that he / she / it has been made aware / read, understood and accept the prevailing Capital Market Regulations / Guidelines / Circulars / Policies / all other policies/ procedures / information / instructions of Sampadha and further shall keep himself/herself / itself, updated of any future updates on capital markets policies / procedures / products / policy, all other policies/ procedures / information / instructions that may be issued from time to time from the capital regulators / market infrastructure institutions / intermediaries.
- Sampadha may or may not send any necessary communications to the client on their registered communication modes / calls / messages / email address.
- Sampadha may modify the terms or any additional terms that to reflect changes to the law or changes to our policies / procedures etc. The client should look at the terms regularly.
- The Client hereby agrees and understands that in case of any noncompliance and /or default by the Client such as cheque bouncing, or payment defaults or for any other matters as may be decided by Sampadha from time to time, without prejudice to Sampadha's other rights, Sampadha may impose / levy charges/penalty(ies) from the client and debit such charges / penalty(ies). the same may be added to the outstanding or collectable from client
- The client hereby acknowledges that all the documents or information as above sent by Sampadha through mobile or calls or messages or e-maill will be considered as having delivered to him once the email leaves Sampadha e-mail server unless the same is rejected by client e-mail server and bounced mail notification is not received by Sampadha.
- The client further agrees that in the absence of communication from him regarding non receipt of documents through email or notification of any discrepancy with in reasonable time from the date of issuance of reports or recommendations or information or updates or documents through email, Sampadha may construe that there is deemed acknowledgement of the document(s) sent to client electronically.
- The Client understands that it is his/her/their responsibility to review all reports, recommendations, information, documents and confirmations, statements, notices and other communications including but not limited to the above and etc.
- The Client is informed that he/she/they shall update their mobile numbers / email IDs with Sampadha. This will facilitate them to receive information or recommendations or reports or guidelines or any other and etc. However, Sampadha may send notice/communication on any of the mobile number, at its discretion. The notice /information /communication through SMS sent to the client shall be deemed to have been received by the client and Sampadha shall not be under any obligation to confirm the authenticity of the person (s) receiving the SMS.
- Sampadha shall not be liable or responsible for any statement or information or recommendations or documents or any other such received from frauds or impostors or impersonators or any consequences thereof.
- The Client agrees that he will send any communication or notice, to Sampadha in writing through Letter or by personal delivery duly acknowledged by Sampadha or by registered post sent at the registered address of Sampadha mentioned herein above.
- The client should be aware that Sampadha may record the conversations or back up the recommendations or mail communications, while providing research reports or recommendations or suggestions or any information /research calls or otherwise between the Client or the Client's representative, either personally or over the telephone or WhatsApp or mails, and the Client hereby specifically permits Sampadha to do so. Such electronic recordings may be relied upon by Sampadha as and when required to resolve disputes in connection with the services or strategies or otherwise.
- The client is requested to update details (Contact details, Financial details, along with source of income, Beneficial Owner etc.) periodically. Also the client is required to provide such details as per PMLA Act, Rules, guidelines issued thereupon as and when sought by Sampadha failing which necessary actions as deemed fit as per regulations will be initiated. The Client hereby declares that they have read and understood the contents and provisions of the PMLA Act 2002, Rules & guidelines issued thereupon and further confirm that they shall adhere to all the provisions of PMLA Act 2002, Rules & guidelines issued thereupon whille dealling in securities markets. The client further undertake and confirm that:
- I/ we do not have any links with any unlawful Persons / institutions.
- I/ we am / are not involved in any unlawful activity & the investment money is derived from proper means & not connected with the proceeds of crime nor involve any black or Hawala Money in any manner.

General
- The Client agrees that Sampadha shall not be liable or responsible for non-execution or prices variations or slippages of the recommendations or reports or research calls or any other due to any criteria or reason or any situation
- Client understands and agrees that the services availed from the Research Analyst is of commercial nature and any dispute with the Research Analyst in this regard shall be subjected to SEBI / Exchange / Market Infrastructure Institution or Arbitration or any suitable dispute redressal mechanism provided in this agreement and the police or lawyers or consumer forum or civil courts or criminal courts has no jurisdiction to entertain the same.
- The client confirm that he/they shall not have recourse to dispute Redressal mechanism/arbitration mechanism of the SEBI / any other administrative agencies in case the client avails the services under any schemes/leagues/competitions etc offered by any third party/group/company/associate of the market intermediaries.
- All market infrastructure institutions have issued circulars, cautioning the investors at large on unsolicited emails and SMS. In this reference you are requested to remain cautious on the unsolicited emails and SMS advising to buy, sell or hold securities and trade only on the basis of informed decision. Investors are advised to invest after conducting appropriate analysis of respective companies and not to blindly follow unfounded rumours, tips etc. Further, you are also requested to share your knowledge or evidence of systemic wrong doing, potential frauds or unethical behaviour through the anonymous portal facility provided on Exchange(s) on their Websites.
- The client is aware that Sampadha is also into many other business activities and the client hereby provides consent to share his existing KYC details to such activities of Sampadha only, whose services or products the clients would like to avail. Further Sampadha shall not have any financial liability with regards to such product/services.
- The client is aware that Sampadha has association with many third party products or services providers. If in case the client is desirous of availing in such third party products or services through any of the channels of Sampadha, the client hereby provides consent to share the KYC details to such third party whose products or services the clients would like to avail. The client is aware that Sampadha is acting only as an agent/ distributor / referrer / business associate for distribution of third party products and services and for the activities / product / services of Third Party Service provider, Sampadha will not be liable hence any disputes/grievances related to the product/services should be directly taken up by the client with the third party. Further Sampadha shall not have any financial liability with regards to such third party product/services.
The Client agrees and accepts that Sampadha's Employees / Business Associates/Authorized Persons / Partners / impersonators / any other persons directly or indirectly linked, shall never give any commitment of assured returns or performance guarantee. Investment in securities market are subject to market risks. Client agrees that he/she/it shall read all the related documents, risk disclosure, research reports, research calls etc. carefully before investing as there is no assurance or guarantee of the returns. Client should not ask and act on any of such assurances/commitments If any given by any of Sampadha's Employees/Business Associates/Authorized Persons / Partners / Impersonators / any other persons directly or indirectly
Sampadha shall not be liable for any loss or damage caused by reason of failure or delay of the research recommendations or reports or information or circulars or guidelines or any other such material information or document.
I/we hereby authorizes Sampadha to send investment advisory / research calls / investment ideas etc. including all commercial communication even though I/we am/are registered or may register with National Do Not Call Registry established under the Telecom Unsolicited Commercial Communications Regulations, 2007 or registered or may register under the National Customer Preference Register established under new regulation viz the Telecom Commercial Communications Customer Preference Regulations, 2010. Client agrees that all the personal data may be shared with internal team to enhance the productivity or service quality.
I do hereby understand that the recommendations, views, and strategies of the research analyst may change dynamically, and it is my responsibility to act accordingly, immediately, and swiftly in the fast, as soon as possible, and research analyst shall not be the responsible for the slippages of prices or delays in recommendations due to technical reasons.

Fees
- Research Analyst shall charge fees under flat and fixed mode only.
- In the event of pre-mature termination of the Research Services by client, no fees shall be refunded.
- In the event of pre-mature termination of the Research Services by Sampadha, pro rata period shall be deducted, and rest of the unserved period shall be the client shall be refunded the fees for unexpired period.
- Period of service starts from the date of signing this agreement or date of payment of amount or date of receipt of amount, or credit of amount into the research analyst bank account which ever is later.
Research Analyst, during the course of performing its services to the client / subscriber, shall not hold out any advice implying any assured returns or minimum returns or target return or percentage accuracy or service provision till achievement of target returns or any other nomenclature that gives the impression to the client that the investment advice is risk-free and/or not susceptible to market risks and or that it can generate returns with any level of assurance.
Client Responsibility:To ensure optimal performance of the strategy / recommendations / service, it is advised to client to act on all the recommendations or suggestions given by Research Analyst over a period.
Research Analyst LiabilityThe Research Analyst shall not incur any liability by reason of any loss in any manner, i.e risks mentioned, opportunity cost lost, loss of price or value of recommendation, growth of price or value of recommendation on the sell side, risks mentioned in the website, volatility value, time value, opportunity cost, non-performance of recommendation or strategy, over performance of recommendation or strategy, under performance of recommendation or strategy or any other market conditions.
Declaration by Research Analyst:Research Analyst shall not manage funds and securities on behalf of the client / subscriber and shall only receive such sums of monies from the client / subscriber as are necessary to discharge the services.
Force Majeure:The Research Analyst shall not be liable for delays or errors occurring by reason of circumstances beyond its control, including but not limited to acts of civil or military authority, national emergencies, work stoppages, fire, flood, catastrophe, acts of God, insurrection, war, riot or failure of communication or power supply or power outage. In the event of equipment breakdowns beyond its control, the research analyst shall take reasonable steps to minimize service interruptions but shall have no liability with respect thereto.
Research recommendations and Investment / Trading Disclaimer- In no event will the research analyst and / or author of the report and / or generator of the strategy / recommendation, its affiliates, agents, employees, partners, employees will be liable to any one for any decision made or action taken for investment/ trading.

- Risk of Higher Volatility: Volatility refers to the dynamic changes in price that a security/derivative contract undergoes when trading activity continues. Generally, higher the volatility of a security/derivatives contract, greater is its price swings. There may be normally greater volatility in thinly traded securities/derivatives contracts than in actively traded securities/derivatives contracts. As a result of volatility, your order may only be partially executed or not executed at all, or the price at which your order got executed may be substantially different from the last traded price or change substantially thereafter, resulting in real losses.

- Liquidity refers to the ability of market participants to buy and/or sell securities/derivatives contracts expeditiously at a competitive price and with minimal price difference. Generally, it is assumed that more the number of orders available in a market, greater is the liquidity. Liquidity is important because with greater liquidity, it is easier for investors to buy and/ or sell securities/derivatives contracts swiftly and with minimal price difference and as a result, investors are more likely to pay or receive a competitive price for securities/derivatives contracts purchased or sold. There may be a risk of lower liquidity in some securities/derivatives contracts as compared to active securities/derivatives contracts. As a result, your order may only be partially executed, or may be executed with relatively greater price difference or may not be executed at all.
- Buying/Selling securities/derivatives contracts as part of a day trading strategy may also result into losses, because in such a situation, securities/derivatives contracts may have to be sold/purchased at low/high prices, compared to the expected price levels, so as not to have any position or obligation to deliver/receive a security/derivatives contract.
- Risk of Wider Spreads:
- Spread refers to the difference in best buy price and best sell price. It represents the differential between the price of buying a security/derivatives contract and immediately selling it or vice versa. Lower liquidity and higher volatility may result in wider than normal spreads for less liquid or illiquid securities/derivatives contracts. This in turn will hamper better price formation.

- Traders/Manufacturers make news announcements that may impact the price of the stock and/or derivatives contracts. These announcements may occur during trading and when combined with lower liquidity and higher volatility may suddenly cause an unexpected positive or negative movement in the price of the security/derivatives contract.
- Risk of rumors:
- Rumors about the price of a stock/security at times float in the market through word of mouth, newspaper, websites or news agencies, etc. The investors should be wary of and should desist from acting on rumors.

Basic Risks:As far as Derivatives segments are concerned, please note and get yourself acquainted with the following additional features:
Effect of “Leverage” or “Gearing”:- In the derivatives market, the amount of margin is small relative to the value of the derivatives contract so the transactions are 'leveraged' or 'geared'. Derivatives trading, which is conducted with a relatively small amount of margin, provides the possibility of great profit or loss in comparison with the principal investment amount. But transactions in derivatives carry a high degree of risk. You should therefore completely understand the following statements before actually trading in derivatives contracts and also trade with caution while taking into account one's circumstances, financial resources, etc.
- Trading in Futures Derivatives involves daily settlement of all positions. Every day the open positions are marked to market based on the closing price. If the closing price has moved against you, you will be required to deposit the amount of loss (notional) resulting from such movement. This margin will have to be paid within a stipulated time frame, generally before commencement of trading on the next day.
- If you fail to deposit the additional margin by the deadline or if an outstanding debt occurs in your account, the stock broker may liquidate a part of or the whole position or substitute securities. In this case, you will be liable for any losses incurred due to such close-outs.
- Under certain market conditions, an investor may find it difficult or impossible to execute the transactions. For example, this situation can occur due to factors such as illiquidity i.e. when there are insufficient bids or offers or suspension of trading due to price limit or circuit breakers etc.
- Steps, such as, changes in the margin rate, increase in the cash margin rate etc. may be adopted in order to maintain market stability. These new measures may be applied to the existing open interests. In such conditions, you will be required to put up additional margins or reduce your positions.

Risk of Option holders :
- An option holder runs the risk of losing the entire amount paid for the option in a relatively short period of time. This risk reflects the nature of an option as a wasting asset which becomes worthless when it expires. An option holder who neither sells his option in the secondary market nor exercises it prior to its expiration will necessarily lose his entire investment in the option. If the price of the underlying does not change in the anticipated direction before the option expires, to an extent sufficient to cover the cost of the option, the investor may lose all or a significant part of his investment in the option.

Risks of Option Writers :
- If the price movement of the underlying is not in the anticipated direction, the option writer runs the risks of losing substantial amount.
- The risk of being an option writer may be reduced by the purchase of other options on the same underlying interest and thereby assuming a spread position or by acquiring other types of hedging positions in the options markets or other markets. However, even where the writer has assumed a spread or other hedging position, the risks may still be significant. A spread position is not necessarily less risky than a simple 'long' or 'short' position.
